STANDARD TERMS AND CONDITIONS OF SALE

BIGBEE TECHNOLOGY LTD

1. General Provisions & Legal Framework

  • Application: These Terms and Conditions apply to all sales of hardware, equipment, devices, and related physical products ("Products") by Bigbee Technology Ltd ("Company", "Seller", "we", or "us") to any customer or purchaser ("Customer").
  • Governing Law: These terms are governed by and construed in accordance with the laws of the United Republic of Tanzania, including the Law of Contract Act (Cap. 345), the Sale of Goods Act (Cap. 214), and the Fair Competition Act (Cap. 285).

2. Orders & Contract Formation

  • Offer & Acceptance: Quotations issued by Bigbee Technology Ltd do not constitute binding offers. A binding contract is formed only when Bigbee Technology Ltd issues a formal written order confirmation, proforma invoice acceptance, or tax invoice.
  • Product Specifications: Customers are responsible for verifying that the technical specifications, compatibility, and quantities listed in the order match their requirements prior to confirmation.

3. Pricing, Taxes & Payment

  • Currency: All prices are quoted in Tanzanian Shillings (TZS) unless explicitly stated otherwise in writing by Bigbee Technology Ltd.
  • Taxation & EFD: Prices are subject to applicable Tanzanian taxes, including Value Added Tax (VAT). In compliance with Tanzania Revenue Authority (TRA) regulations, an Electronic Fiscal Device (EFD) receipt will be issued upon payment.
  • Payment Terms: Standard sales require full payment prior to dispatch or delivery. Where credit terms are explicitly granted in writing by Bigbee Technology Ltd, payments must be settled within the agreed timeframe.

4. Delivery & Passing of Risk

  • Delivery Timelines: Any delivery dates provided by Bigbee Technology Ltd are estimates. While we make every effort to meet scheduled dates, we are not liable for reasonable delays caused by transit, logistics, or customs procedures.
  • Passing of Risk: Risk of loss or damage to the Products passes to the Customer upon delivery to the agreed site or upon handover to the Customer’s designated carrier or representative.

5. Title & Ownership

  • Retention of Title: Full legal title and ownership of all Products remain with Bigbee Technology Ltd until the agreed purchase price and any applicable fees have been paid in full and cleared.

6. Warranty & Defect Claims

  • Manufacturer & Limited Warranty: Products sold by Bigbee Technology Ltd are covered by manufacturer warranties or our specified limited warranty from the date of delivery.
  • Inspection & Notification: The Customer must inspect all Products upon receipt. Any visible defects, wrong deliveries, or physical damage must be reported in writing to Bigbee Technology Ltd within 48 hours of delivery.
  • Warranty Exclusions: Warranties do not cover issues arising from improper installation, power surges, liquid damage, unauthorized repairs or alterations, misuse, or normal wear and tear.

7. Returns & Refunds

  • Non-Defective Products: Bigbee Technology Ltd is not obligated to accept returns for non-defective, correctly supplied tech products. Any discretionary return accepted may be subject to a restocking fee and must be unopened in original packaging.
  • Defective Products: Where Products are confirmed defective under warranty, Bigbee Technology Ltd will repair, replace, or refund the item in accordance with the Fair Competition Act (Cap. 285) and standard manufacturer guidelines. Original EFD receipts are required for all warranty claims or returns.

8. Limitation of Liability

  • To the maximum extent permitted under Tanzanian law, the total cumulative liability of Bigbee Technology Ltd for any claim arising out of or related to the sale of Products shall not exceed the total amount paid by the Customer for the specific Product giving rise to the claim.
  • Bigbee Technology Ltd shall not be liable for any indirect, incidental, or consequential losses, including loss of data, loss of profits, or operational downtime.

9. Force Majeure

  • Bigbee Technology Ltd shall not be liable for non-performance or delay caused by events beyond reasonable control, including but not limited to power grid failures, telecommunication outages, acts of God, civil commotion, severe weather, or government trade restrictions.

10. Dispute Resolution

  • Amicable Settlement: The parties agree to resolve any dispute or claim arising from a sale through good-faith negotiations within 30 days of notice.
  • Jurisdiction: If negotiations fail, disputes shall be submitted exclusively to the competent courts of the United Republic of Tanzania or settled via arbitration in accordance with Tanzanian law.
